Terms and Conditions (B2B)

Version 2.1 — 28 September 2026 — version code Q-Global-AV-B2B-2.1

This is an English translation. In the event of any discrepancy, the Dutch text prevails (clause 20.2). Dutch original: Algemene voorwaarden.

1. Definitions and scope

1.1. Q-Global: Q-Global Imports B.V., Parellaan 2, 2132 WS Hoofddorp, the Netherlands, Chamber of Commerce no. 98084933, mario@q-globalimports.com.

1.2. Buyer: a customer acting in the course of a trade, business or profession. Products: the dermal fillers and ordinary cosmetic aftercare products, such as creams and HA face masks, confirmed in an order.

1.3. These terms govern the sale and physical delivery of Products. Development, licences, subscriptions, processing of patient data and support of medical software fall outside these terms and require separate agreements. Medicinal products, including botulinum toxin preparations, fall outside these terms and are not offered or supplied on the basis of them.

1.4. "In writing" includes letter and e-mail. Q-Global's trade name, supplier, sourcing route, place of origin or margin is commercially confidential. This never restricts information that applicable product legislation requires to appear on a label, in instructions for use or in an accompanying document, or to be provided to a competent authority.

2. Applicability

2.1. These terms apply to B2B quotations and agreements, whether the order is received via the website, e-mail, telephone, messaging or an intermediary, provided that they were made available before or at the conclusion of the agreement. Q-Global does not sell to consumers.

2.2. The Buyer's purchasing terms are rejected unless Q-Global expressly accepts them in writing. Deviations apply only after written confirmation by an authorised representative of Q-Global. In the event of conflict, a specific order confirmation prevails over these terms.

3. Quotations, orders and representation

3.1. Quotations are non-binding unless their binding nature and period of validity are expressly stated. An automatic acknowledgement of receipt is not an acceptance. An agreement is formed by Q-Global's written order confirmation or by Q-Global demonstrably commencing performance, unless the specific ordering and payment process shows that it accepted the order earlier.

3.2. If an order that has already been paid is not accepted after verification, Q-Global will refund the amount received within fourteen days. A confirmed agreement cannot be amended unilaterally.

3.3. The Buyer warrants the accuracy of its details and the authority of the person placing the order. A statement, order, commitment or instruction from an intermediary binds Q-Global only insofar as that person is demonstrably authorised or Q-Global itself confirms the act in writing. Substitution of the Buyer, assumption of debt or release from an existing payment obligation applies only with Q-Global's separate express written consent; consent to payment by a third party does not constitute a release of the Buyer.

4. Verification and destination

4.1. Before acceptance or delivery, Q-Global may verify identity, company and VAT details, authority to represent, and any professional registration or licence required for receipt, use or onward supply. The Buyer shall provide the documents reasonably required. If verification is insufficient, Q-Global may refuse the order or reasonably suspend performance, and will notify the Buyer accordingly.

4.2. Products for professional use are supplied only to customers who may lawfully receive and use them, or who lawfully supply them onward to such customers. The Buyer ensures correct and up-to-date information on delivery address and destination.

5. Products and documentation

5.1. Q-Global offers or supplies a product only once it has established the applicable legal role and the conditions for lawful trade in that product. The order describes the product, quantity, price, destination and relevant product-specific storage and delivery conditions. Q-Global provides the product information required by law.

5.2. Descriptions and images serve for identification. Any specifically agreed property or minimum remaining shelf life is stated expressly in the order confirmation. This clause does not affect legally required conformity, safety, labelling and information.

5.3. The aftercare creams and HA face masks are ordinary cosmetic products for external use within the meaning of Regulation (EC) No 1223/2009. Q-Global supplies them with the required labelling and usage information, including the name of the responsible person. The Buyer follows the directions on the packaging.

6. Dermal fillers

6.1. For fillers covered by Regulation (EU) 2017/745 (MDR), Q-Global fulfils its statutory obligations as importer or distributor in accordance with its actual role for the product concerned. For a device from a manufacturer outside the EU that Q-Global places on the EU market for the first time, its importer obligations apply; for further making available of a device already placed on the EU market, its distributor obligations apply.

6.2. Before placing on the market or supplying further, Q-Global checks the conformity aspects required for its role, including CE marking, EU declaration of conformity, applicable certification, labelling, instructions for use and UDI where required. It will not place a device on the market or supply it further if it knows or has reason to believe that the device is non-conforming, unsafe, falsified or damaged.

6.3. The Buyer stores, transports and uses fillers in accordance with the statutory product information. Changing the intended purpose, product identity, packaging, labelling or sterility is permitted only within the applicable legal framework. A commercial arrangement cannot exclude the statutory obligations of Q-Global or the Buyer. Medical use on patients is the responsibility of the authorised practitioner.

7. Onward supply and export

7.1. The Buyer shall inform Q-Global before any intended onward supply outside the agreed country of destination or any re-export. Within its own role, the Buyer ensures compliance with the rules applicable in the country of destination, including market authorisation, language, labelling, import, sanctions, receipt and use. Q-Global remains responsible for its own statutory acts and provides the product information required by law.

7.2. No provision obliges Q-Global to disclose its commercial suppliers, purchase prices, sourcing route or contacts to the Buyer. Statutory information on the product or in the accompanying information and the rights of competent authorities remain unaffected.

8. Price, VAT and costs

8.1. Prices are in euros, exclusive of VAT, transport, insurance, import duties and other levies, unless the order confirmation provides otherwise. The order confirmation states which additional costs are borne by the Buyer. A confirmed price will not be changed unilaterally.

8.2. A zero rate or VAT reverse charge is applied only if the statutory conditions and required evidence are present. The Buyer reimburses any demonstrable additional tax assessment and related reasonable costs caused by its incorrect information, insofar as permitted by law.

9. Payment

9.1. Unless the order confirmation provides otherwise, the Buyer pays the agreed price in advance. Q-Global is not required to purchase, reserve or ship before the agreed payment has been irrevocably received.

9.2. For instalments, the quantity, price, payment and delivery of each instalment are confirmed in writing. Payment of one instalment does not create a right to delivery of a subsequent unpaid instalment.

9.3. Payment is made to the account stated on an authentic invoice or order confirmation of Q-Global. The Buyer must verify any changed payment instruction or different beneficiary with Q-Global via a previously known independent channel. Payment to an unconfirmed third party does not discharge the Buyer unless Q-Global actually receives the amount or ratifies the payment in writing.

9.4. In the event of late payment, Q-Global may suspend its performance once the amount is due. The Buyer owes statutory commercial interest and legally permissible reasonable collection costs. Set-off or suspension by the Buyer is excluded, except insofar as mandatory law prevents this or Q-Global acknowledges the counterclaim in writing.

10. Availability and cancellation

10.1. Delivery times are indicative unless a strict deadline has been expressly agreed in writing. An order confirmation does not mean that the full quantity is physically in stock at the stated location.

10.2. In the event of delayed delivery, Q-Global informs the Buyer as soon as possible, offers a new reasonable period and supplies an alternative only with the Buyer's consent. If delivery is definitively impossible or a new period is not reasonably acceptable, the parties may terminate the undelivered part and Q-Global refunds the advance received for it within fourteen days, without prejudice to statutory rights.

10.3. If the Buyer cancels a confirmed order without legal grounds, it compensates demonstrable, reasonable and no longer avoidable damage, less savings and resale proceeds.

11. Delivery, release and risk

11.1. The delivery address, transport, insurance and any Incoterms® rule, including version and named place, are set out in the order confirmation. Without an Incoterms agreement, transport risk passes upon delivery at the agreed address, insofar as permitted by law.

11.2. Q-Global instructs a third party to deliver directly to the Buyer only after specific prior written release by an authorised representative of Q-Global for that order and shipment. A third party's storage location, sender details or proof of shipment does not constitute evidence that Q-Global has inspected or approved the shipment.

11.3. Before release, Q-Global internally checks the documentation required for the product and, where necessary, the physical shipment: identity, quantity, authenticity, lot or serial numbers, shelf life, seals and storage and transport conditions. Where Q-Global is the importer, release also covers the legally required indication of its name and address on the device, its packaging or an accompanying document. If required information is missing or there is reasonable doubt about conformity or authenticity, the shipment is blocked until the investigation is completed. This internal check gives the Buyer no right to inspect commercial sourcing information.

11.4. The Buyer ensures a correct delivery address and timely receipt. Reasonable additional costs of a failed delivery attributable to the Buyer are for its account. Each party ensures, within its own role, the applicable storage and transport conditions.

12. Traceability and confidentiality

12.1. The parties retain, for the statutory period applicable to their role, the data needed to identify products and trace their direct supply and onward delivery. Where relevant, the Buyer records the product, lot or serial number, UDI, quantity, date of receipt and the customer in the event of onward supply.

12.2. The Buyer provides the necessary traceability data without delay in the event of a safety action or statutory inspection, and otherwise within a reasonable period at Q-Global's request. Q-Global provides the Buyer with the product information required by law, but discloses its confidential commercial supplier and sourcing data only where the law, a competent authority or a specific statutory safety obligation so requires.

13. Inspection and complaints

13.1. On receipt, the Buyer checks quantity, packaging, seals, visible damage, shelf life and any temperature indicators. It reports visible deviations in writing, where possible within two working days, stating order and product identification. A report will not be refused solely because the period was exceeded where timely reporting was not reasonably possible.

13.2. The Buyer reports non-visible deviations within a reasonable time after discovery. The products and packaging concerned are stored safely and kept available for examination; if a safety issue is suspected, use and onward supply are stopped.

13.3. Following a justified complaint, the parties determine the legally appropriate remedy, including replacement, supplementation, price reduction or refund. Statutory rights continue to apply.

14. Safety reports and recalls

14.1. The Buyer reports any suspected serious incident, serious risk, falsification, non-conformity or relevant storage deviation to Q-Global immediately, and no later than 24 hours after discovery, via mario@q-globalimports.com with the subject "Safety report", providing the available product and incident information. This contractual period does not affect earlier statutory reporting obligations. Patient data are provided only insofar as lawful and necessary, pseudonymised where possible.

14.2. Q-Global assesses the report without delay within its statutory role and takes the required measures, such as blocking, investigation, correction, notification or recall. The Buyer cooperates. No commercial dispute may delay a legally required safety action.

15. Returns

15.1. Correctly delivered products are not taken back voluntarily without a prior written agreement. Opened or unsealed products, or products whose proper storage cannot be demonstrated, are not returned to saleable stock. This does not limit rights in respect of non-conformity or obligations in the event of a safety action.

16. Retention of title

16.1. Insofar as permitted by law, delivered products remain the property of Q-Global until the claims for which retention of title can validly be stipulated have been paid. The Buyer keeps them identifiable and carefully stored and does not pledge them. Resale in the ordinary course of business is permitted as long as the Buyer is not in default, unless otherwise agreed in writing.

16.2. In the event of default, Q-Global may, after appropriate demand, exercise its rights in respect of identifiable products subject to retention of title. Safety and traceability obligations continue to apply.

17. Liability

17.1. Insofar as permitted by law, Q-Global's contractual liability for direct financial loss is limited to the net invoice amount of the delivery concerned. Loss of profit and business interruption loss are excluded insofar as permitted by law.

17.2. These limitations do not apply in the event of intent or deliberate recklessness on the part of Q-Global's management, nor to liability or product safety obligations that cannot be limited under mandatory law. Delivery by an engaged third party does not automatically release Q-Global from its own obligations towards the Buyer.

18. Force majeure

18.1. Force majeure is an event beyond Q-Global's reasonable control that prevents performance despite reasonable measures. Mere non-delivery by a supplier chosen by Q-Global does not automatically constitute force majeure. Q-Global reports the impediment and limits its consequences. In the event of prolonged impossibility, the parties may terminate the unperformed part and the advance payment received for it is refunded.

19. Confidentiality

19.1. Non-public prices, quotations, margins, supplier relationships, sourcing channels, logistics routes and business information designated as confidential are kept confidential by the Buyer and used solely for the performance of the agreement. This does not prevent legally required product information, product verification, patient safety, reports to authorities, advice or legal protection.

19.2. An intermediary cannot make deviating product, delivery or payment arrangements without demonstrable authority and written confirmation by Q-Global.

20. Law, language and disputes

20.1. Dutch law applies. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. Disputes are submitted to the Dutch court having jurisdiction by law; an exclusive choice of forum applies only insofar as validly agreed.

20.2. The Dutch text prevails where Q-Global also provides an English translation of these terms.

21. Final provisions

21.1. The invalidity of any provision does not affect the remaining provisions. The version made available before or at the conclusion of an agreement applies to that agreement; later amendments apply only with the consent of both parties.

21.2. These terms are made available before the conclusion of the agreement so that they can be stored, and are available free of charge on request.

21.3. Each version of these terms carries a version code. Q-Global records for each order which version was offered to the Buyer.
